FORM OF CONFIDENTIALITY LETTER FOR CONSULTANT’S EMPLOYEES


CONFIDENTIALITY AGREEMENT


This Confidentiality Agreement is made as of [Month] [Day], [Year], between [Name of Consultant]. (“Employer”) and [Insert Name of Consultant’s Employee] (“Employee”).

The parties agree as follows:
  1. Employee shall hold strictly confidential all information and materials provided to Employee by Employer or [Insert name of Philip Morris International Entity] (“PM”) or created or acquired by Employee in the course of performing services for PMI, including information that Employee gains through Employer’s or Employee’s access to PMI facilities (collectively, the “Information and Materials”). Employee shall not use or disclose to any third party the Information and Materials for any purpose other than to fulfill his or her obligations to Employer in performing services for PMI. Upon the completion of all services subject to this Confidentiality Agreement or upon the earlier request of Employer or PMI, Employee shall return promptly all Information and Materials to Employer or PMI.
  2. Employee’s obligation to maintain confidentiality shall survive the completion of all services subject to this Confidentiality Agreement.
  3. This Confidentiality Agreement and all matters collateral hereto shall be governed by and construed in accordance with the laws of (applicable jurisdiction) without regard to its conflicts of laws principles.

IN WITNESS WHEREOF, the parties hereto have caused this Confidentiality Agreement to be duly executed as of the date first written above.
